These VaultSage Terms of Service ("Terms") are an agreement entered between you and NURIE AI, Inc. and its affiliates (collectively "NURIE AI," "we," or "us") in connection with your use of the VaultSage service ("VaultSage"). In these Terms, "you" refers both to you as an individual and to the entity you represent. By using VaultSage, you consent to these VaultSage Terms of Service.

IMPORTANT ARBITRATION NOTICE:
IF YOU ARE IN THE UNITED STATES OR CANADA, YOU AGREE THAT DISPUTES BETWEEN YOU AND NURIE AI WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. WE EXPLAIN THIS PROCESS, SOME EXCEPTIONS, AND HOW YOU CAN OPT OUT OF ARBITRATION IN SECTION 10 OF THE NURIE AI PLATFORM TERMS OF SERVICE.

1. A Cloud Drive Platform with AI Agent Capabilities (VaultSage)

VaultSage is a cloud drive platform that enables you to store, share, and manage your files securely in the cloud with enhanced AI capabilities. VaultSage allows you to share files with recipients through intelligent AI agents that can interact with and provide insights about your shared content. You can send AI agents along with your files to recipients, enabling them to ask questions, get summaries, and interact with your documents in ways that go beyond traditional file sharing.

VaultSage may also allow you to create your own AI agents powered by third-party Large Language Models ("LLMs") from providers including OpenAI and Anthropic. You can use these AI agents for a variety of purposes, from document analysis, content summarization, translation, writing assistance, to many other file-related tasks. Each AI agent has its own description in its profile and the name of the company, developer, or individual who created the agent. Usage guidelines for all AI agents can be found in your settings. VaultSage is a cloud storage platform that enables users to store files and access various AI agents, but VaultSage does not provide and is not responsible for the content or services available from these AI agents.

Notice on AI Agent Accuracy

The information provided by AI agents is not always guaranteed to be accurate or up-to-date. It is important to verify information from other sources before making critical decisions. VaultSage does not guarantee the accuracy of the information provided by the AI agents, and the results generated by the AI may not always be complete or as expected. You should be aware that using AI agents may result in unexpected outcomes, data loss, or other issues.

2. Age Requirements

Use of VaultSage by anyone under 7 years of age is prohibited. You represent that you are at least the age of majority in the jurisdiction where you live or, if you are not, your parent or legal guardian must consent to these VaultSage Terms of Service and affirm that they accept these Terms on your behalf and bear responsibility for your use. AI agents accessed via VaultSage may produce content that is not suitable for minors. If you are accepting these VaultSage Terms of Service on behalf of someone else or an entity, you confirm that you have the legal authority to bind that person or entity to these Terms.

3. Your Use of VaultSage

3.1 Use of VaultSage

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable right to use VaultSage and its AI agents.

3.2 User Acknowledgments

You acknowledge and agree that:

  • AI agents accessed via VaultSage should not be relied upon during emergencies; AI agents may claim to perform actions for you in the real world but may have not taken any action besides responding to you.
  • AI agents accessed via VaultSage may not generate accurate information and information provided may be out of date. You should independently verify responses or advice provided by any AI agents on VaultSage. NURIE AI does not provide any warranties or guarantees as to the accuracy of any information provided via VaultSage.
  • VaultSage and AI agents on VaultSage are subject to modification and alteration, and may contain errors, design flaws, or other issues.
  • Use of VaultSage or AI agents on VaultSage may result in unexpected results, loss of data or communications, or other anticipated or unanticipated damage or loss to you.
  • VaultSage or AI agents on VaultSage may not operate properly, be in final form, or be fully functional; your access to VaultSage or the AI agents is not guaranteed and VaultSage and the AI agents are provided on an "AS IS" basis.

3.3 Restricted Uses

You agree not to use VaultSage or AI agents on VaultSage to:

  • Violate the rights of another party or any applicable laws.
  • Violate any of these Terms or our policies, or policies of third-party providers that power the AI agents on VaultSage which can be found in the agent profile or by visiting VaultSage.com/about.
  • Reverse assemble, reverse compile, decompile, translate or otherwise attempt to discover the source code or underlying components of models, algorithms, and systems of VaultSage, the AI agents, or their underlying technologies.
  • Abuse, harm, interfere with, reverse engineer, or disrupt VaultSage, the AI agents, or their underlying technologies, such as by accessing or using them in fraudulent or deceptive ways, introducing malware, or spamming, hacking, or bypassing any protective measures.
  • Use VaultSage or the AI agents in an automated fashion, such as by exceeding any rate limits set forth by us from time to time.
  • Use VaultSage or the AI agents to develop products, applications, services, foundation models or other large scale models that compete with VaultSage, the AI agents, and their underlying technologies.
  • Use any method to extract data from VaultSage or the AI agents, including web scraping, web harvesting, or web data extraction methods, other than as permitted by these VaultSage Terms of Service.
  • Represent that AI-Generated Content (as defined below) is human-generated.

3.4 Feedback

We welcome your feedback and suggestions about how to improve VaultSage or AI agents on VaultSage. By submitting feedback, you agree to grant us the right, at our discretion, to use, copy, disclose, create derivative works, display, publish, and otherwise exploit the feedback, in whole or part, freely and without any compensation to you. Please provide your feedback by emailing us at cs@nurie.ai.

4. Your Content

4.1 Your Content

VaultSage may allow you to upload, store, and share files, ask questions, create bookmarks, vote or like, post, or share AI agent conversations within VaultSage or outside of VaultSage. All material that you upload, publish, store, or display within VaultSage, and any results that you receive in response to your prompts (or other inputs) from AI agents accessible via VaultSage ("AI-Generated Content"), will collectively be considered "Your Content."

Other users may ask questions and receive responses from AI agents on VaultSage that are similar to or the same as yours. The content that other users receive are not considered Your Content.

4.2 Your AI Agents

VaultSage may allow you to create AI agents powered by third-party LLMs or add your own AI agent to the VaultSage platform for users to interact with (each, a "Your AI Agent"). Your AI agents will be associated with your VaultSage profile name. You have no obligation to create an AI agent, but if you choose to create an AI agent you are responsible for ensuring the content is lawful and does not violate these Terms, our policies or the policies of any third-party LLMs which power your AI agent. NURIE AI may, in its sole discretion, remove your AI agent if it violates these Terms, our policies or the policies of any third-party LLMs which power your AI agent or applicable law. NURIE AI takes no responsibility for your AI agents, any of its content, or others' use of your AI agents. If you choose to connect your AI agents to VaultSage using our APIs, then the VaultSage API Terms apply to your use of such APIs.

4.3 Ownership

You retain ownership of Your Content, subject to the non-exclusive rights granted below.

4.4 Your Responsibility

You acknowledge and agree AI agents accessible via VaultSage answer your questions based on knowledge derived from a variety of sources, and that NURIE AI does not create or generate any AI-Generated Content. VaultSage provides access to several underlying technologies, including third-party providers that use LLMs. An LLM is a machine learning system that processes and generates text. You agree that you are responsible for Your Content and Your AI agents, including for ensuring that they do not violate any applicable law, these Terms (including the Restricted Uses in Section 3.3 above), our policies, or the policies of any third-party LLMs which power AI agents within VaultSage.

We reserve the right to block, remove, and/or permanently delete Your Content or Your AI agents if they are in breach of these Terms, our policies, the policies of any third-party LLMs which power AI agents within VaultSage, or violate any applicable law or regulation, or if it creates risk for NURIE AI or VaultSage or negatively impacts the experience of other VaultSage users.

4.5 Our Use of Your Content

We may use Your Content and Your AI agents to provide and improve VaultSage, including:

  • Providing your questions and prompts to third-party LLMs to generate responses.
  • Displaying Your Content to others if you use the sharing features in VaultSage.
  • Making available Your AI agents for others to use and interact with within VaultSage.
  • Promoting your shared content or Your AI agents to others.
  • Understanding your use of VaultSage to generally improve the VaultSage services.

We may also need to use or disclose Your Content to comply with applicable laws, enforce these VaultSage Terms of Service and our policies, and to detect and prevent fraud, security, or technical issues.

By using VaultSage, you grant us a worldwide, non-exclusive, royalty-free, transferable, and perpetual license to use Your Content and Your AI agents as stated above.

5. Termination

You may cease your use of VaultSage or terminate these VaultSage Terms of Service at any time for any reason or no reason by deleting your account in your settings. We may suspend or terminate your access to VaultSage and/or these VaultSage Terms of Service at our discretion, with or without cause, and with reasonable notice where applicable. Any Data collected prior to termination may continue to be used in accordance with these Terms, including for legal or business purposes. The following provisions will survive expiration of termination of these Terms, in addition to the provisions set forth in Section 11(e) of the NURIE AI Platform Terms of Service: Section 3.4 (Feedback), Section 4.3 (Ownership), 4.4 (Your Responsibility) and 4.5 (Your Content), this Section 5 (Termination), Section 7 (Disclaimers and Limitation of Liability) and Section 9 (General).

6. Privacy

As detailed in the VaultSage Privacy Policy, we may collect certain personal information related to your use of VaultSage (including contact information, etc.). Your account information is anonymized before being shared with third-party LLM providers and developers. The third-party developers and LLM providers may receive details about your interactions with AI agents on VaultSage (including the contents of your chats, upvotes, etc.) to provide responses and to generally improve the services. There is no need to share sensitive personal information with the AI agents (such as credit card information, social security information, etc.). 7. DISCLAIMERS AND LIMITATION OF LIABILITY

WE CANNOT GUARANTEE THE AVAILABILITY OF ANY AI AGENTS, FEATURES OR SERVICE OF VAULTSAGE OR AVAILABLE THROUGH VAULTSAGE. WHILE WE ARE CONTINUING TO DEVELOP NEW FEATURES, ADD AI AGENTS AND IMPROVE VAULTSAGE, WE MAY, WITHOUT NOTICE TO YOU, ADD OR REMOVE FEATURES OR AI AGENTS, LIMIT USE OR AVAILABILITY OF FEATURES OR AI AGENTS ENTIRELY (OR JUST IN CERTAIN PLACES OR FOR SOME USERS) IF THEY CREATE RISK TO NURIE AI, USERS OF VAULTSAGE, THIRD PARTIES POWERING THE AI AGENTS, NO LONGER MAKE SENSE FROM A BUSINESS PERSPECTIVE OR FOR ANY REASON IN OUR SOLE DISCRETION. WE ALSO CANNOT GUARANTEE THAT YOUR USE OF VAULTSAGE WILL BE ERROR FREE, DISRUPTED OR THAT YOU WILL NOT EXPERIENCE SERVICE OUTAGES. WE ARE NOT LIABLE FOR ANY ERRORS, DISRUPTIONS OR SERVICE OUTAGES THAT MAY OCCUR.

8. Refund

8.1 General Terms

You acknowledge and agree that:

  • REFUNDS ARE NOT AVAILABLE FOR CANCELLATIONS OR TERMINATIONS INITIATED BY USERS ONCE A SERVICE IS PAID FOR AND ACTIVATED. THE SERVICE WILL CONTINUE UNTIL THE END OF THE CONTRACTED PERIOD.
  • Refund requests are only accepted within 14 days of payment for accounts with zero usage.
  • The refund policy applies based on the timestamp of the email received at cs@nurie.ai containing an explicit refund request.

8.2 Full Refund Conditions

A full refund will be issued in the following circumstances:

  • Service outages or disruptions due to company fault.
  • Failure to provide purchased services.
  • Significant discrepancy between advertised and actual service.
  • Service becomes substantially unusable due to inherent defects.

8.3 Refund Process and Payment Errors

We will process refunds through the original payment method. If the original payment method is unavailable, alternative refund methods will be discussed and agreed upon. Refund processing will begin within 3 business days of refund obligation, with refund-related costs borne by the party at fault.

8.4 Overpayment Resolution

  • Company-caused overpayments will be refunded in full, including all fees.
  • Customer-caused overpayments may require the customer to bear reasonable refund processing costs.

8.5 Important Acknowledgments

You acknowledge and agree that:

  • All refund requests must be sent to cs@nurie.ai with clear refund intent.
  • Credit card refunds may take 3–7 business days to process.
  • Card transaction fees may be deducted from refund amounts for completed transactions.

8.6 Subscription Changes

You may modify subscription options at any time. Any changes will take effect automatically at the end of the current subscription period.

9. General

These Terms will be binding upon and will inure to the benefit of your and our heirs, successors, and/or assignees.
